This Photography Conference Sponsor Terms and Conditions Agreement (the "Agreement") is entered into by and between the Peculiar Collective (the "Host") and the sponsoring organization, or individual (the "Sponsor") participating in the Peculiar Conference 2023 (the "Conference"). By purchasing a sponsor package for the Event, you ("the Sponsor") agree to be bound by these Terms and Conditions. This Agreement sets forth the terms and conditions governing the sponsorship arrangement.

1 Sponsorship Benefits:
a. The Host agrees to provide the Sponsor with the following sponsorship benefits, as outlined in the agreed sponsorship package:
i. Placement of the Sponsor's logo on conference promotional materials, including websites, banners, and print advertisements.
ii. Recognition of the Sponsor's support during conference opening and closing remarks.
iii. Inclusion of the Sponsor's logo and description in the conference program guide.
iv. Access to designated exhibit space for promotional activities during the conference.
v. Complimentary conference registrations for a specified number of Sponsor representatives.
b. The specific details of the sponsorship benefits will be outlined in a separate sponsorship package and agreed upon by both parties.
2. Sponsorship Fee and Payment:
a. The Sponsor agrees to pay the sponsorship fee specified in the sponsorship package, to the Host at the completion of this package selection process.
b. The Host reserves the right to cancel the sponsorship if payment is not received within the specified timeframe.
3. Sponsorship Acknowledgement:
a. The Sponsor acknowledges that the sponsorship does not imply an endorsement of the Sponsor's products, services, or organization by the Host.
b. The Sponsor agrees to use the Host's logo and conference-related materials strictly for promotional purposes related to the Conference and with prior written approval from the Host.
4. Sponsorship Cancellation:
a. In the event that the Conference is canceled by the Host, the Sponsor will be entitled to a refund of the sponsorship fee paid, excluding any expenses already incurred by the Host on behalf of the Sponsor. In the event that the Conference is rescheduled by the Host, the sponsorship fee will be transferred to the rescheduled Conference date.
b. If the Sponsor cancels the sponsorship, the Host reserves the right to retain a portion of the sponsorship fee as a cancellation fee, to be determined on a case-by-case basis.
5. Liability:
a. The Host shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to the sponsorship, including but not limited to any loss of business, revenue, or reputation.
b. The Sponsor agrees to indemnify and hold the Host harmless against any claims, demands, actions, liabilities, costs, or expenses arising from the Sponsor's participation in the Conference.
6. Governing Law and Jurisdiction:
a. This Agreement shall be governed by and construed in accordance with the laws of Maryland, without regard to its conflict of laws principles.
b. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Annapolis, Maryland.
7. Entire Agreement: This Agreement constitutes the entire understanding between the Host and the Sponsor concerning the sponsorship of the Conference and supersedes all prior negotiations, understandings, or agreements, whether oral or written.
